Terms of Service

1. Acceptance of Terms

Welcome to Elm. By accessing or using our website, application, or services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. VizCreator LLC, a Delaware limited liability company (“we,” “us,” or “our”), reserves the right to update or modify these Terms at any time without prior notice. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. Description of Service

Elm is a workspace for notes and documents. The Service enables users to create, edit, organize, and share pages and databases with features including a block-based editor, nested page hierarchies, search, file uploads, page sharing, and dark/light mode. The Service is designed for individual personal use.

3. Account Registration

To use the Service, you must create an account by providing a valid email address and password. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept all responsibility for activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 13 years old to use the Service. By creating an account, you represent that you meet this age requirement.

4. Subscriptions and Payment

Elm offers a free tier and an optional paid subscription (Pro) that provides additional storage and features. By subscribing, you agree to the following:

  • Subscription Fee: Access to Pro features requires an active paid subscription at the current rate displayed on our website (currently $3/month).
  • Billing: Subscriptions are billed monthly in advance. You authorize us to charge your payment method on a recurring basis.
  • Payment Processing:Payments are processed through Stripe, a third-party payment processor. You agree to Stripe's terms of service.
  • Price Changes:We reserve the right to modify subscription fees with at least 30 days' notice.
  • Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

5. Refund Policy

Subscription fees are non-refundable. No refunds or credits will be provided for partial subscription periods or unused portions of the Service.

6. User Content

You retain ownership of all content you create, upload, or store through the Service (“User Content”). By using the Service, you grant us a limited, non-exclusive license to host, store, and display your User Content solely for the purpose of providing the Service to you.

You are solely responsible for your User Content. You agree not to upload, store, or share content that is illegal, infringing, defamatory, or otherwise objectionable. We reserve the right to remove User Content that violates these Terms.

7. Page Sharing

The Service allows you to share pages with other users via email. When you share a page, the recipient can view or edit the page based on the permission you grant. You are responsible for managing who has access to your shared pages. Recipients of shared pages may duplicate the content to their own workspace.

8. Intellectual Property

The Service, including all content, features, functionality, software, designs, graphics, and trademarks, is owned by VizCreator LLC or its licensors and is protected by United States copyright, trademark, patent, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited license to access and use the Service in accordance with these Terms.

9. Restrictions

You agree not to:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
  • Modify, adapt, translate, or create derivative works of the Service
  • Scrape, crawl, or use automated means to access or collect data from the Service without our prior written consent
  • Use the Service for any illegal, unauthorized, or otherwise improper purposes
  • Circumvent or attempt to circumvent any security features or access controls
  • Use the Service to harm, harass, or violate the rights of others
  • Share your account credentials with others

10. Data and Privacy

Your privacy is important to us. We collect account information, payment information (processed by Stripe), and usage data as described in our Privacy Policy. By using the Service, you consent to our collection and use of data as described in our Privacy Policy.

11. Third-Party Services

The Service integrates with third-party services including Supabase (authentication and database), Stripe (payment processing), and Vercel (hosting). Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or performance of third-party services.

12. Updates and Modifications

We may update, modify, or discontinue the Service or any features thereof at any time with or without notice. We are not liable for any modifications, suspensions, or discontinuations of the Service.

13. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms or failure to pay applicable fees. You may delete your account at any time through the Settings page. Upon termination, your right to use the Service immediately ceases. Termination does not entitle you to any refund of fees paid.

14. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE SERVICE AT YOUR OWN RISK.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VIZCREATOR LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

16. Indemnification

You agree to indemnify, defend, and hold harmless VizCreator LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

17. Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware. Judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver: You agree that any arbitration or proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

18. International Use

The Service is controlled and operated from the United States. We make no representations that the Service is appropriate or available for use outside the United States. If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

19. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and VizCreator LLC regarding the Service.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
